- Scope of Services: The web development studio (hereafter referred to as “the Studio”) will provide website design, development, and related services as outlined in the agreed-upon project proposal or contract.
- Client Responsibilities: The Client agrees to provide all necessary materials, content, and information required for the project in a timely manner. Any delays caused by the Client may result in adjustments to the project timeline and cost.
- Payment Terms: The Client agrees to make payments to the Studio as specified in the project proposal or contract. A deposit may be required before work commences, and the final payment is due upon project completion or as per the agreed milestone payments.
- Project Changes: Any changes or additions to the project scope must be communicated in writing and may result in additional costs and timeline adjustments.
- Intellectual Property: The Studio retains ownership of all intellectual property rights associated with the website until the final payment is received. Upon full payment, the Client will have ownership of the website design and content but not the underlying code and software.
- Website Maintenance: If website maintenance services are agreed upon, the terms and frequency of maintenance will be outlined in a separate agreement.
- Website Hosting and Domain: The Client is responsible for providing website hosting and domain registration. The Studio may assist in setting up hosting, but any ongoing hosting fees are the responsibility of the Client.
- Confidentiality: Both parties agree to keep any confidential information shared during the course of the project confidential and not disclose it to third parties.
- Indemnification: The Client agrees to indemnify and hold harmless the Studio from any claims, losses, or damages arising from the use or misuse of the website or any content provided by the Client.
- Termination: Either party may terminate the project or contract with written notice if the other party breaches any of the terms and conditions outlined herein.
- Governing Law: This agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], and any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
By engaging the services of the Studio, the Client acknowledges and agrees to abide by these terms and conditions.
